Cyril Chamoun is a corporate associate in the Riyadh office of Kirkland & Ellis International Law Firm. He has experience advising clients on a broad range of cross-border capital markets, M&A, joint ventures and banking transactions in the EMEA region.
His experience includes representing major international companies at a prominent U.S. firm in London in a wide variety of capital markets transactions, including IPOs, high yield bond offerings, private placements and other rights offerings. He also worked as an associate at a leading Lebanese law firm, handling the legal portfolios of major Middle-Eastern groups and advising them on M&A, banking, joint ventures and capital markets transactions.

Representing a leading Indian multinational product engineering company on the Bombay Stock Exchange and the National Stock Exchange of India in its INR 30.4 billion 144A/Reg S initial public offering of equity shares
Representing a French multinational electric utility company in its EUR 3.15 billion 4(a)2/Reg S rights offering
Representing a French retailer in its EUR 300 million144A/Reg S high-yield senior secured notes offering
Representing a French retailer in its EUR 400 million 144A/Reg S high-yield senior secured notes offering to partly refinance the company’s EUR 720 million existing senior secured notes
Representing a Scottish international investment management company in its GBP 670 million 4(a)2 rights offering
Representing a global South African company in relation to the credit enhancement of its EUR 400 million senior notes offering
Representing UK’s leading provider of motoring and cycling products and services in its GBP 64 million 4(a)2 rights offering
Representing a leading French optician in its EUR 50 million Reg S high yield tap issuance of new 4.25% senior secured notes due in 2026, in addition to the EUR 410 million notes already issued under the same terms
Representing top-tier Lebanese banks in their cash contributions to capital, tender offers and exchange transactions on the bonds (circa USD 250–300 million each)
M&A/Joint Ventures
Representing a leading Belgium-based innovation service provider in the specialty chemicals and food ingredients industry in its acquisition of a leading distributor in Africa and the Middle East
Representing a top-tier Lebanese bank, in its various transactions, notably:
USD 100 million acquisition of 100% of the shares of a local bank
USD 150 million acquisition of 100% of the shares of the Middle Eastern subsidiaries of a major global bank
Assisted in the incorporation of one of the Lebanon’s leading venture capital firms with the participation of more than 20 Lebanese banks and represented it in its various investments, including by drafting and negotiating subscription and shareholders’ agreements with the target companies
Restructuring of a major Dubai based platform, providing a global workspace network for its users, to facilitate its re-domiciliation and expansion into the US market
Advising major contractors in relation to their joint ventures with local companies in Lebanon, Europe, Middle East and Africa and in their construction, water and waste management and energy projects in these countries
Advising major pharmaceutical companies in relation to their joint ventures in the Middle East and Africa and their distribution relationships in these countries
Banking
Advised major domestic and international banks as well as the Association of Banks in Lebanon in LMA long-term loans, syndicated facilities and letters of guarantee with local and international organizations, notably:
Syndicated facilities granted along with another top-tier Lebanese bank to USD 250 million medium term loan to a major Lebanese group in relation to a restructuring project within that group
USD 45 million facility granted to a major distribution transformer manufacturer to guarantee its obligations in relation to a USD 135 million sale of its assets in Africa (mainly Kenya and Senegal)
A syndicate of five banks in Lebanon and Egypt in relation to a USD 280 million medium term facility to Egypt's largest steel companies in relation to direct reduction plant and land steel making plant projects in Egypt
A top-tier Lebanese bank on USD 58 million loan to a prominent Middle Easter group to refinance its existing facilities
