• Maverick Natural Resources in connection with a master trust issuance of $640 million of asset-backed securities secured by Maverick’s Western Anadarko Basin producing oil and gas wells
• Raisa Energy LLC in connection with an initial master trust issuance of $636 million of asset-backed securities and subsequent issuances secured by producing oil and gas wells
• A private company in connection with an issuance of $255 million of asset-backed securities secured by operated producing oil and gas wells
• A private company in connection with an issuance of $220 million of asset-backed securities secured by producing oil and gas wells
• A private company in connection with a master trust issuance of over $700 million of sustainability-linked asset-backed securities secured by data centers and related assets
• World Omni Financial Corp. in connection with numerous publicly registered and private auto ABS transactions including issuances of term series notes secured by retail loan and lease receivables, and issuances from a floorplan master trust of variable funding notes to ABCP conduits and banks
• Navistar Financial Corporation in connection with issuances from a floorplan master trust of term series notes in Rule 144A transactions, and variable funding notes to ABCP conduits and banks
• NextGear Capital, Inc. in connection with issuances from a floorplan master trust of term series notes in 144A transactions, and variable funding notes to ABCP conduits and banks
• A borrower in connection with a $500 million multi-currency, multi-jurisdictional trade receivables facility
• A client in connection with a partnership with a fintech company involving a warehouse facility securitizing individual draws on unsecured consumer loans
• A client in connection with a Rule 144A/Reg S offering of over $125 million of asset-backed notes backed by consumer loans
• Private equity firms and/or their portfolio companies in connection with complex structured financings in the context of asset-based lending transactions, M&A acquisitions and trade receivables financings
• Preparation of Form SF-3 registration statements complying with Reg AB II shelf eligibility requirements and other complex disclosure issues

• American Airlines in connection with enhanced equipment trust certificate financings of aircraft
• Landmark Infrastructure Partners in connection with multiple issuances of asset-backed notes backed by billboard and tower revenue sites
• A borrower in connection with a private placement of asset-backed notes secured by ground leases underlying solar project sites
• Sellers in connection with a receivables sale transaction of reimbursements from development districts
