Renewable Energy
Counseled Apollo Funds on an agreement to acquire a 50% stake in a Texas solar and battery energy storage system (BESS) portfolio from TotalEnergies (NYSE: TTE). The portfolio includes approximately 2 GW of solar and BESS assets in strategic locations in Texas’ ERCOT market, consisting of three solar projects with a total capacity of 1.7 GW and two battery storage projects with a combined capacity of 300 MW.
Counseled Ares Management Infrastructure Opportunities funds in investing in a partnership with ENGIE North America, a clean energy company, holding a 2.7 GW portfolio consisting of 15 projects in operation across Electric Reliability Council of Texas, Midcontinent Independent System Operator, PJM and Southwest Power Pool, including solar, wind and co-located battery storage capacity assets.
Advised Sandbrook Capital on a platform-level partnership with rPlus Energies, a private renewable energy developer, under which Sandbrook Capital committed up to $460 million investment in the platform.
Advised Northampton Capital Partners, LLC in connection with a definitive arrangement agreement between its affiliate, Royal Aggregator LP, and Altius Renewable Royalties Corp. (TSX: ARR) (OTCQX: ATRWF), whereby Royal Aggregator LP acquired all the issued and outstanding common shares of ARR, other than those ARR shares indirectly owned by Altius Minerals Corporation, by way of a statutory plan of arrangement under the Business Corporations Act (Alberta).

Advised ONEOK, Inc. (NYSE: OKE) on its definitive agreement with EnLink Midstream, LLC (NYSE: ENLC) to acquire all the outstanding publicly held common units of EnLink for $4.3 billion in ONEOK common stock.
Advised ONEOK, Inc. (NYSE: OKE), a midstream natural gas liquids service provider, on two significant transactions, including: (i) its definitive agreement with affiliates of Global Infrastructure Partners (GIP) to acquire GIP’s entire interest in midstream energy service provider EnLink Midstream, LLC (NYSE: ENLC), consisting of 43% of EnLink’s outstanding common units and 100% of the interests in the managing member, for total cash consideration of approximately $3.3 billion, and (ii) its definitive agreement to acquire all of the equity interests in Medallion Midstream, LLC, the largest privately held crude oil gathering and transportation system in the Permian’s Midland Basin, from GIP for $2.6 billion in cash.
Advised Ascent Resources Utica Holdings, LLC and its wholly owned subsidiary, ARU Finance Corporation, in a Rule 144A/Regulation S offering of $600 million in high yield senior notes.
Advised Savage, a global provider of supply chain infrastructure and solutions, on its acquisition of Texon, a Houston, Texas-based midstream service provider of butane blending and energy marketing.

Advised Integrated Oncology Network (ION), a physician-led independent community oncology network, on its definitive agreement to be acquired by Cardinal Health for $1.115 billion in cash.
Advised Trilantic North America in its strategic growth investment in SOFIE Biosciences.
