Since joining Kirkland, Sky has worked on the following matters, advising:

• Wendel on the partnership agreement and majority acquisition of Monroe Capital.
• Thoma Bravo in its sale of Adenza, a provider of mission-critical risk management and regulatory software to the financial services industry, to Nasdaq (Nasdaq: NDAQ) for $10.5 billion in cash and shares of common stock.
• Charlesbank Capital Partners on its investment in Perspective Financial Group.
• Advent on the acquisition of Nuvei for $6.3 billion.

Prior to joining Kirkland, Sky’s representative matters included:

• Advising on the UK financial regulatory perimeter, including whether proposed new ventures constitute regulated activities and appropriate legal structures and options for new client business.
• Advising on the regulatory aspects of M&A and restructuring activities involving financial services.
• Advising on the regulatory aspects of fundraising activity, including fund structuring, marketing and on-going compliance.
• Advising on the application of the Financial Services and Markets Act 2000 and related legislation, the rules and guidance of the FCA and EU single market legislation such as MiFID II and AIFMD.
• Advising on issues arising from PRA/FCA rule breaches and regulatory investigations.
