In re HH Liquidation, LLC: Represented Comvest Equity Partners, LLC, its former portfolio companies, and individual defendants against the Official Committee of Unsecured Creditors, related to an investment in a grocery store brand. After a week-long trial, defendants prevailed on all 78 counts, including claims for fraudulent transfer, constructive fraud, breach of fiduciary duty, substantive consolidation, recharacterization, and equitable subordination.
Teva Pharmaceuticals et al. v. UnitedHealthcare: Represented Teva in a suit against UnitedHealthcare to enforce a settlement agreement that resolved longstanding reverse-payment antitrust claims related to the drug Provigil. After a week-long trial, the court ruled in favor of Teva.
Abbott Laboratories v. Alere, Inc.: Represented Abbott in its merger dispute with Alere. After filing a lawsuit to terminate the merger, conducted aggressive discovery during a highly compressed trial schedule, and ultimately helped Abbott secure a purchase price reduction of approximately $500 million.
BankDirect Capital Finance, LLC v. Capital Premium Financing, Inc.: Counsel for Capital Premium in breach of contract, fraud, and trade secret dispute related to the marketing and funding of insurance premium finance products.
TransUnion v. Equifax: Represented TransUnion in a breach of contract dispute with Equifax. After filing the lawsuit and conducting significant discovery, helped TransUnion secure a favorable settlement.
Institute for Justice v. Illinois Department of Financial and Professional Regulation: Counsel for the Institute for Justice in an effort to vindicate its rights under Illinois’s Freedom of Information Act. On appeal to the Illinois Supreme Court, secured a unanimous opinion that the Institute was entitled to the requested documents and attorneys’ fees, while also establishing a new framework for evaluating the retroactive application of new laws in Illinois.
