Overview
Jacqueline M. Trudeau is a partner in the New York office of Kirkland & Ellis LLP. Jacqueline represents financial institutions, investment funds, and strategics in various types of energy and infrastructure transactions, including bank and bond financings and other structured debt transactions. Her representations involve transactions across a range of energy and infrastructure projects, including LNG, solar, wind, and battery.
Experience
Representative Matters
Since joining Kirkland, Jacqueline has been involved in the following matters:
- Represented Butterfly Equity and its portfolio company Pacifico Aquaculture in connection with the construction financing of a recirculating aquaculture system nursery that will be located in Baja California, Mexico, as well as the structuring of the broader transaction by which the nursery will ultimately be sold and leased back following the completion of construction.
- Represented Compañia Minera del Pacífico S.A. (CMP) in connection with an export prepayment facility to support CMP’s export operations. CMP will have the flexibility to request loan disbursements from the uncapped facility on an as-needed basis to support its current and future export operations.
- Represented Transmission Developers, Inc., in connection with the financing of the development and construction of the Champlain Hudson Power Express transmission line, which is planned to deliver 1,250 MW of renewable hydropower from Canada to New York City.
- Represented Brookfield Infrastructure Partners L.P. on its definitive agreement with Intel Corp. to jointly fund Intel’s under-construction semiconductor fabrication facility with Brookfield investing up to $15 billion for a 49 percent stake in Intel’s manufacturing expansion.
- Represented Grön Fuels, a subsidiary of Fidelis New Energy, in the development of a renewable diesel and jet fuels production facility in Louisiana.
- Represented TPG Rise Climate and The Rise Fund in its investment in Monolith Materials, a producer of clean hydrogen and carbon black using commercial-scale methane pyrolysis, in connection with a $300 million equity raise by Monolith Materials.
- Represented Ohmium in connection with negotiations of a number of equipment supply agreements, warranty agreements, and operations and maintenance agreements.
- Represented Ontario Teachers’ Pension Plan in its $805 million convertible equity portfolio financing of a large portfolio of renewables assets owned by NextEra Energy Partners, LP (NYSE: NEP).
Prior to joining Kirkland, Jacqueline was involved in the following matters:
- Represented the agent and lenders in connection with a construction loan, term loan and letter of credit facility for the development of a 518-MWh energy storage system in California.
- Represented an issuer of a $1.8 billion inaugural 144A offering, which was issued in connection with the acquisition of a Brazilian refinery.
- Represented the initial purchasers of a $2.5 billion inaugural offering and follow-on $1.25 billion offering, the proceeds of which were used to prepay amounts outstanding under existing credit facilities.
- Represented the administrative agent and lender in connection with a $1 billion credit facility for the build-out of a renewables portfolio.
- Represented the agent and lenders in connection with a construction loan and letter of credit facility and a separate term loan facility for the development of a 460-MWh energy storage system in California.
- Represented various purchasers in 4(a)(2) private placements totaling over $4 billion of senior secured notes in connection with the construction and operation of LNG facilities in Louisiana and Texas.
- Represented the lenders providing $285 million construction loan, tax equity bridge loan and letter of credit facilities for the repowering of wind farms in California.
- Represented the lead arranger in connection with $733 million in construction loan and letter of credit facilities for the development and sale of a 400 MW wind generation facility in Missouri.
