Kirkland Hires Former Skadden Tax Atty in California

Kirkland & Ellis LLP has added to its Palo Alto, California, office a new partner from Skadden Arps Slate Meagher & Flom LLP who has deep experience in the tax aspects of mergers and acquisitions and private equity transactions.

Karen Lee has been working out of the Palo Alto office for just over a week after leaving Skadden but already feels she made the right decision in joining the firm, she said.

“My experience has been very positive,” Lee said. “I’ve enjoyed meeting many new colleagues, learning about their practices and finding ways to add value to the matters they’re handling.”

At Kirkland & Ellis, Lee will counsel clients on the tax aspects of dispositions, joint ventures, private equity transactions, bankruptcy and financial restructurings, private and public securities offerings, and real estate investment transactions.

Lee believes that she’ll be an excellent addition to the firm, and she’ll benefit from the firm as well.

“My experience aligns well with Kirkland’s existing, top-tier tax and corporate practices,” Lee said. “I look forward to working with both my previous and new clients and collaborating with my new colleagues across offices to help our clients work through complex and important tax issues in this ever-changing climate.”

According the firm’s website, Lee has represented Genesis HealthCare Corp. in the $2.4 billion acquisition of all of its real estate assets by Health Care REIT Inc., HCP in it’s $6.1 billion acquisition of the real estate assets of HCR ManorCare Service Inc. and The Sara Lee Corp. in connection with the initial public offering and subsequent spinoff of its subsidiary, Coach Inc.

Lee also represented O’Reilly Automotive Inc. in its debt refinancing, which included a $500 million offering of 4.875 percent senior notes due 2021, and Hayes-Lemmerz International Inc. in its Chapter 11 reorganization.

Jeffrey Hammes, the chairman of Kirkland’s global management executive committee, believes that Lee will be a huge boost to the firm.

“Karen is an outstanding tax attorney with impressive experience advising on sophisticated and complex transactions,” Hammes said in a statement. “Her experience will bolster the firm’s ability to provide creative tax solutions and comprehensive transactional guidance to clients in the Bay Area and across the firm.”

Lee received her bachelor’s degree from the University of Washington and her law degree from the University of Chicago Law School.
