Kirkland Counsels ArcLight Affiliate on Acquisition of Outstanding Common Units and Merger with American Midstream
Kirkland & Ellis advised ArcLight Energy Partners Fund V, L.P. on its definitive agreement and plan of merger with American Midstream Partners, LP (NYSE: AMID). The Purchaser, an affiliate of ArcLight, will acquire, in a merger transaction, all outstanding common units of the Partnership not already held by affiliates of ArcLight, at a price of $5.25 in cash per common unit.
