Kirkland Advises Tenneco on Cooperation Agreement with Protean Services and Daniel Ninivaggi
Kirkland & Ellis advised Tenneco Inc., one of the world's leading designers, manufacturers and marketers of aftermarket, ride performance, clean air and powertrain products and technology solutions for diversified markets, on its Cooperation Agreement with Protean Services LLC and Daniel A. Ninivaggi. As part of the Cooperation Agreement, Protean withdrew its slate of directors for Tenneco’s 2020 annual shareholder meeting and agreed to certain standstill and voting commitments.
Kirkland also advised Tenneco on its Board and governance refreshment processes, including the appointment of Aleks Miziolek to serve as a director of the Company.
