Andrea Haggerty is an associate director of Kirkland’s United States Mergers and Acquisitions Clearance Team with respect to Hart-Scott-Rodino (HSR) analysis and filings. Kirkland is among the most active firms in the world, filing more than 400 HSR notifications annually, which represents approximately 20 percent of all transactions reported to the United States antitrust agencies. She regularly files for private equity firms, public companies, private companies and individuals in transactions valued greater than the HSR threshold (currently $119.5 million).
Experience
Assists Kirkland’s HSR team, which reviews publicly available information and coordinates with the corporate team to draft tailored requests on behalf of the client. The team reviews client information, including potential 4c/4d documents, and works with clients and opposing HSR counsel to prepare the filing.
Works with the Firm’s corporate department and clients to determine whether a transaction is HSR-reportable; conducts financial analysis including valuation, ownership and control.
Experience with complex corporate transactions, including acquisitions and dispositions of assets, voting securities, LLC/membership interests, joint ventures, spin-offs, tender offers and bankruptcy/restructuring transactions.
Maintains strong business relationships with officers of Fortune 500 companies, private equity firms and government staff.
