Brett Ackerman

Prior to joining Kirkland, Brett was involved in the following matters:

Derivatives

• Represented numerous private equity sponsors and credit funds on total return swaps. 
• Advised large private equity fund with respect to credit default swaps related to structured finance positions. 
• Extensive work for some of the largest private equity sponsors in structuring deal contingent transactions for M&A transactions.
• Advised one of the world's largest private equity advisers in the negotiation and documentation of numerous securities repurchase agreements to back leverage the purchase of corporate bonds.
• Counsel to various end-users in finance-linked hedging transactions in connection with loan restructurings and/or bond issuances.

Structured Finance and Securitizations

• Represented large private equity fund in connection with its warehouse financings for commercial real estate assets in the United States and Europe. 
• Advised specialty finance and business development company (BDC) focused on providing direct lending on portfolio of warehouse credit agreements.  
• Represented solar developer in the then largest ever solar securitization consisting of USD 466 million of asset backed notes and USD 345 million warehouse facility.  
• Represented large west-coast private equity fund in multiple transactions consisting of pass-through notes and securities repurchase transactions.
• Advised multi-national pharmaceutical company on ABL Credit Agreement in connection with its Chapter 11 exit plan.
• Acted as lead on multiple trade receivables facilities for portfolio companies of large private equity sponsors. 

Regulatory

• Counseled various private equity funds and hedge funds on registration and compliance requirements under the Commodity Exchange Act and the US Commodity Futures Trading Commission rules.  
• Reviewed limited partnership agreements, subscription agreements, private placement memoranda, and investment fund side letters with respect to derivatives and related regulatory matters. 
• Represented global clearinghouse with respect to credit default swap clearing initiative.
• Counsel to foreign investment bank with respect to cross-border application of the Dodd-Frank Act.
