Prior to joining Kirkland, Faris was involved in the following matters:

M&A and General Corporate

• International construction company on a cross-border acquisition 
• Leading U.S. hospitality company on in its joint venture with a Saudi company for establishing a five-star hotel in Saudi 
• Leading U.S. technology company on various Saudi Law matters including its corporate structuring in Saudi 
• Multiple Saudi and foreign investors on aspects of the Saudi companies’ law including shareholders rights, board of directors conflict, liquidation, capital increase and reduction, and transfer of shares, forming subsidiaries, board nomination and removal, and developing committee charters and policies 
• Saudi real estate corporation on two major real estate projects in Saudi
• NEOM on its scholarships program and the preparation of associated legal documents

Regulatory and Public Policy

• The Economic Cities and Special Zones Authority in drafting the various sectoral and cross-sectoral legislations in relation to special economic zones
• The Red Sea Development Company in drafting the various sectoral and cross-sectoral legislations in relation to special economic zone
• The Ministry of Investment and the National Investments Committee on investment incentives and agreements 
• The Ministry of Culture on restructuring the 11 sub-sectors overseen by the Ministry 
• The Saudi Tourism Authority on multiple matters including tourists’ rights and protections and the Authority’s founding law
• A Saudi Ministry on trade remedies’ legal reforms
• The Prince Mohamed Bin Salman Royal Reserve Development Authority on multiple regulatory and transactional projects
• The General Aviation Authority on the establishment of a logistics special zone
• Intra-governmental committee on the establishment of a new public body to oversee and unify governmental roles in connection to supervision and inspection
• Saudi government agency and a state-owned company on the new Privatization Law 
• Legal, regulatory and governance advice on various matters relating to Vision 2030 and other government initiatives

Disputes Resolution

• Successfully represented minority shareholders in a board of directors liability litigation and succeeded in presenting the case before the First Instance Court, the Court of Appeals and the Enforcement Court
• Represented and defended a leading construction company in Saudi on multiple contracting and contractual disputes before Saudi courts 
• Successfully represented a real estate development company on its objection claim to a SAR +100 million idle land fee 
• Successfully defended a state-owned company on multiple real estate litigation before Saudi courts
