Shawn Beloin is a corporate partner in the Houston office of Kirkland & Ellis LLP. His practice focuses on mergers, acquisitions, divestitures and commercial contract negotiation involving energy assets and companies across the energy value chain, with an emphasis on energy transactions in the upstream, midstream and project development sectors. Shawn's transactional experience includes advising clients in connection with the purchase and sale of a broad range of energy assets and the negotiation of gathering agreements, intrastate and interstate gas and liquids transportation agreements, as well as feedstock supply and product offtake agreements for a wide range of facilities (including natural gas processing, liquids terminals, LNG, LPG, RNG and industrial gas facilities).

Summit Partners in the sale of Summit Natural Resources’ operated natural gas properties and related facilities located in Virginia, West Virginia and Alabama to Diversified Energy Company PLC (NYSE: DEC, LSE: DEC).
EQT Corporation (NYSE: EQT) in its $8.8 billion midstream joint venture with Blackstone Credit & Insurance.
Prior to joining Kirkland, Shawn was involved in the following representative matters:
Multiple RNG developers in the negotiation of foundation offtaker (RNG and environmental attributes or environmental attributes only) contracts, interconnect agreements with the immediate downstream pipelines (including LDCs, intrastate and interstate pipelines) and related RNG transportation and sale arrangements.
Divert in connection with the development of its biodigester renewable natural gas facilities in Lexington, North Carolina, including negotiation of interconnection agreement with downstream utility and RNG offtake arrangements.
ExxonMobil in connection with its agreement with Air Liquide to support the production of low-carbon hydrogen and low-carbon ammonia at ExxonMobil’s Baytown, Texas facility.
A natural gas pipeline company in its development of a greenfield intrastate pipeline originating in Central Texas and terminating near Beaumont, Texas, including negotiation of anchor shipper service agreements and the pipeline's original statement of operating conditions.
ConocoPhillips in its investment in Port Arthur LNG and customer participation in the project, including natural gas supply arrangements and LNG sale and purchase agreement.
NextDecade in connection with its final investment decision for the first three trains of the Rio Grande LNG facility, including negotiation and finalization of natural gas transportation arrangements, LNG sale and purchase agreements, documents governing the operation of the project and related physical commodity and operational arrangements.
Multiple pre-FID LNG, hydrogen, ammonia and industrial gas facilities in their neogitation of foundation customer contracts, transportation arrangements and related operational contracts.
Incitec Pivot in its sale of its ammonia manufacturing facility in Waggaman, Louisiana, including Incitec Pivot’s long-term offtake from the Waggaman facility after closing.
Black Mountain Oil and Gas in its acquisition of the Catarina Ranch Eagle Ford upstream assets from Mesquite Energy.
Laredo Petroleum (now Vital Energy) in its divesture of Howard County, Texas non-operated upstream assets.
Vital Energy in its acquisition of upstream assets from Forge Energy II, an EnCap portfolio company, in the Delaware Basin.
VTX Energy Partners in its long-term gas gathering, processing and finished product marketing arrangements.
