Overview
Rob Eberhardt is a debt finance partner in the New York office of Kirkland & Ellis LLP. Rob's practice focuses on the North American energy and infrastructure sector, in particular on renewable energy and energy transition matters. His clients include private equity sponsors and their portfolio companies, strategics and lenders, and he advises on debt finance, tax equity, tax credit transfers, acquisitions and dispositions, project development and commodity hedging. He has significant experience with a wide range of transaction types involving onshore and offshore wind, solar, conventional power, storage, transmission, carbon capture and sequestration, hydrogen and other assets.

Representative Matters
Since joining Kirkland, Robert has been involved in the following matters:
- Represented Vineyard Wind 1 in the $1.2 billion tax equity financing for its 800 MW offshore wind project off the coast of Massachusetts.
- Represented Glentra, alongside Novo Holdings and PKA, in the $300 million investment in energyRe, a developer of renewable energy projects.
- Represented Arclight Capital Partners in its $364 million acquisition from Duke Energy (NYSE: DUK) of its commercial distributed generation business.
- Represented Quantum Capital Group, 547 Energy and ConnectGen in its $768 million sale of ConnectGen to Repsol.
- Represented Copenhagen Infrastructure Partners (CIP), through its Energy Transition Fund (CI ETF I), in its acquisition of a majority stake in a blue ammonia project, which will be developed alongside U.S.-based Sustainable Fuels Group.
- Represented Doral Renewables LLC, a U.S. renewable energy and storage developer, in its sale of up to $500 million of convertible notes to funds managed by Apollo (NYSE: APO) affiliates and Migdal Insurance.
- Represented Blackstone Infrastructure Partners on its participation in a consortium of investors that secured an almost 84,000 acre lease for $645 million in the U.S. Bureau of Ocean Energy Management’s New York Bight offshore wind auction.

Wind Energy Projects
- Represented the project in the $2.3 billion debt financing for the 800 MW Vineyard Wind 1 offshore wind project off the coast of Massachusetts.
- Represented the project in commodity hedging, debt financing and tax equity financing for the 336 MW Escalade wind energy project in Texas.
- Represented the sponsor in joint venture arrangements, commodity hedging, debt financing and tax equity financing for the repowering of the 161 MW Wildorado wind energy project and the 122 MW Elbow Creek wind energy project, each in Texas.
- Represented the sponsor in commodity hedging, offtake arrangements, debt financing and tax equity financing for the 419 MW Mesquite Star wind project in Texas.
- Represented the hedge provider in structuring and documenting secured proxy revenue swaps supporting the repowering of three wind energy projects in Texas totaling 430 MW.
- Represented the buyer in its acquisition of Infinity Renewables, a leading developer of utility-scale wind projects in the United States. The acquisition included more than 8,000 MW of U.S. wind and solar projects in various stages of development.
- Represented sponsors in the development, tax equity financing and commodity hedging arrangements for the Rattlesnake, Blue Cloud, Bearkat I and Bearkat II wind energy projects in Texas.
- Represented an equity investor in its investment in a 760 MW portfolio of wind, geothermal, hydropower and solar generation assets in operation or under construction in the United States and Canada.
- Represented an equity investor in its construction period investments and subsequent partnership flip financings for six wind energy projects totaling over 900 MW located in Oklahoma, Minnesota and Kansas.
- Represented the sponsor in the US $1.2 billion senior secured debt and leveraged lease financing for Phases II through V of the Alta Wind Energy Center, a 570 MW portfolio of wind energy projects in California.
Solar Energy Projects
- Represented the sponsor in the construction, back-leverage and tax equity financing for the Bighorn solar project, a 240 MW solar photovoltaic energy project in Colorado.
- Represented the sponsor in the acquisition, development, commodity hedging and tax equity financing for the Greasewood solar project, a 255 MWac solar photovoltaic energy project in Texas.
- Represented the sponsor in the acquisition, development, commodity hedging and tax equity financing for, and partial divestment of, the Misae solar project, a 240 MWac solar photovoltaic energy project in Texas.
- Represented the sponsor in commodity hedging and the construction, back-leverage and tax equity financing for the Impact solar project, a 260 MW solar photovoltaic energy project in Texas.
- Represented the sponsor in commodity hedging, the construction, back-leverage and tax equity financing for, and the sale of, the Holstein solar project, a 200 MW solar photovoltaic energy project in Texas.
- Represented the sponsor in the construction, back-leverage and tax equity financing of the US $416 million Prospero solar project, a 379 MWdc solar photovoltaic energy project in Texas.
- Represented the sponsor in the acquisition, development and tax equity financing for, and partial divestment of, the Sage solar project, a 58 MWac solar photovoltaic energy project in Utah.
- Represented the sponsor in the construction, back-leverage and tax equity financing of the US $397 million Phoebe solar project, a 250 MW solar photovoltaic energy project in Texas.
- Represented the sponsor in the bank and bond financing of the US $550 million Arlington Valley Solar Energy II Project, a 127 MW solar photovoltaic energy project in Arizona
- Represented the sponsor in the bank and bond financing of the Centinela Solar Energy Project, a 170 MW solar photovoltaic energy project in California.
- Represented the initial purchaser and lenders in the US $935 million senior secured project bond and bank financing for the Genesis Solar Project, a 250 MW solar thermal energy project in California.
Conventional Power Projects
- Represented the lenders in the senior secured bank financing of the US $1.3 billion South Field Energy Center, a 1,182 MW natural gas-fired generation project in Ohio.
- Represented the lenders in the US $1 billion senior secured bank financing of the Cricket Valley Energy Center, a 1,100 MW natural gas-fired generation project in New York.
- Represented a private equity fund in the acquisition, development, commodity hedging and senior secured bank financing of the Lordstown Energy Center, a 940 MW natural gas-fired generation project in Ohio.
- Represented the lenders in the senior secured bank financing of the US $899 million Carroll County Energy Project, a 700 MW natural gas-fired generation project in Ohio, and a subsequent re-financing in the term loan B market.
- Represented the lenders in the senior secured bank financing of the US $775 million St. Charles Energy Center, a 725 MW natural gas-fired generation project in Maryland.
- Represented the lenders in the senior secured bank financing of the US $842 million Woodbridge Energy Center, a 700 MW natural gas-fired generation project in New Jersey.
- Represented the lenders in a senior secured acquisition financing for a 300 MW gas-fired cogeneration project in Georgia.
