Overview

Nancy Kowalczyk is a partner in the Investment Funds Practice Group in Kirkland’s Chicago office. She leads Knowledge Management for the U.S. regulatory solutions practice.

Nancy has approximately two decades of experience, both as inhouse and outside counsel, helping financial services institutions, ranging from startups to global platforms, navigate legal, regulatory, and compliance issues related to their day-to-day operations and strategic initiatives.

She has primarily focused her practice on counseling asset managers, particularly private fund sponsors, with respect to issues arising under the Investment Advisers Act of 1940 and the Investment Company Act of 1940, including status and registration, ongoing operations and governance, compliance and reporting, and examination, investigation and enforcement matters.

Nancy also has extensive experience advising clients regarding the launch and management of a variety of traditional and novel investment product offerings, with a primary focus on the formation, offering, and operation of private funds and other pooled vehicles. In addition, she has significant transactional experience, including providing buy-side and sell-side advice in connection with enterprise-level and portfolio-level transactions, such as complex financial services-related mergers and acquisitions, asset sales, joint ventures, restructurings, private securities offerings and other strategic transactions.
