Adam Nguyen is a tax partner in the Austin office of Kirkland & Ellis LLP. Adam helps clients identify and navigate U.S. federal income tax issues and opportunities, most commonly advising fund sponsors and their portfolio companies. Adam regularly assists with the formation and operation of private investment funds, in addition to advising on continuation vehicles, sponsor liquidity transactions, and incentive equity and succession programs. Adam also has significant experience assisting clients with mergers and acquisitions, joint ventures, restructurings and ongoing operations of businesses historically conducted in partnership form (e.g., into UP-C and UPREIT structures), and financings. Apart from practice, Adam teaches partnership tax at UC Berkeley School of Law.
