Social+Capital Arbitration (JAMS): Won a complete victory for Silicon Valley venture capital firm Social+Capital in arbitration brought by two founders and a former partner alleging breaches of contract and fiduciary duty for improper dilution of carried interest. Following a week-long trial and post-trial briefing, the panel found in favor of Social+Capital and dismissed all claims brought by claimants.
Cervecería Modelo de México S. de R.L. de C.V. v. CB Brand Strategies, LLC (S.D.N.Y.; 2d Cir.): Won a unanimous jury verdict in a breach of contract and trademark infringement litigation concerning Corona Hard Seltzer and Modelo Ranch Water arising from a license agreement between Constellation Brands and Grupo Modelo, an Anheuser-Busch InBev company. The trial team was recognized as runners-up in The Am Law Litigation Daily’s “Litigator of the Week” column for this victory. Won complete affirmance in appeal of the judgment.
Thompson v. Ciox Health, LLC (4th Cir.): Won full affirmance in appeal concerning whether South Carolina law applies to medical record companies and provides a private right of action to sue for alleged overcharges for medical records.
In re Bemis Securities Litigation (S.D.N.Y.): Won full dismissal of securities class action litigation arising from Amcor’s $6.8 billion acquisition of Bemis.
Scaminaci v. Jaffrey (S.D.N.Y.): Defeated request for emergency injunction of ongoing sale process for wireless infrastructure assets owned by Melody Capital in lawsuit by co-founder alleging breach of contract, breach of fiduciary duty and defamation related to Melody’s operations and governance. Subsequently won dismissal of the complaint.
Silver Point Capital Fund L.P. v. Riviera Resources, Inc. (N.Y. Sup. Ct. Com. Div.): Won full dismissal of a lawsuit against Riviera Resources alleging fraud arising from a stock repurchase agreement based on the language of a so-called “Big Boy Letter.”
Donald J. Trump for President, Inc. v. Boockvar (M.D. Pa.): Successfully defended several Pennsylvania voting practices and procedures, including the use of drop boxes for the return of mail-in and absentee ballots, in advance of the 2020 presidential election.
