Experience
Representative Matters
Since joining Kirkland, Jonathan has been involved in the following matters:
- Beacon Offshore Energy in its divestiture of its non-operated interests in the deepwater Gulf of Mexico to GOM 1 Holdings, Inc., an affiliate of O.G. Oil & Gas Limited.
- W&T Offshore, Inc. (NYSE: WTI), a leading independent oil and natural gas producer with operations offshore in the Gulf of Mexico, in its successful acquisition of six fields in shallow waters of the Gulf of Mexico from the Chapter 11 estates of Cox Operating, LLC. The six fields acquired each include a 100% working interest and an average 82% net revenue interest. The section 363 sale was approved by the U.S. Bankruptcy Court for the Southern District of Texas.
- TG Natural Resources LLC in its $2.7 billion acquisition of Rockcliff Energy II LLC, an upstream natural gas company focused on the East Texas Haynesville shale.
- Warwick Capital Partners and GRP Energy Capital in its purchase and sale agreement to sell certain mineral and royalty interests to Viper Energy Partners LP, a subsidiary of Diamondback Energy, Inc., for aggregate consideration of approximately $1 billion, consisting of 9.02 million Viper common units and $750 million in cash.
- Morgan Stanley Infrastructure Partners in its acquisition of a majority stake in Crowley Wind Services, a leader in offshore wind energy solutions in the United States.
- Engine No. 1 in its proposed strategic partnership with Vale and Manara Minerals to invest in Vale Base Metals, the holding entity for Vale’s energy transition metals business.
- Earthstone Energy, Inc. (NYSE: ESTE) and Northern Oil and Gas, Inc. (NYSE: NOG) in their $1.5 billion Delaware Basin acquisition of oil and gas assets from Novo Oil & Gas Holdings, LLC.
- Northern Oil and Gas, Inc. (NYSE: NOG) in its $162 million acquisition of an undivided stake in certain Delaware Basin oil and gas assets of Forge Energy II Delaware, LLC, in partnership with Vital Energy, Inc.
- Riley Exploration Permian, Inc. (NYSE: REPX) in its $330 million acquisition of oil and gas assets in the Permian Basin from Pecos Oil & Gas, LLC.
- Devon Energy Corporation (NYSE: DVN) in its $1.8 billion acquisition of Validus Energy, an operator of Eagle Ford Shale assets.
- Riverbend Energy Group in its $1.8 billion divestiture of all of the equity interests in Riverbend Oil & Gas VI, LLC, Riverbend Oil & Gas VI-B, LLC and Riverbend Oil & Gas VIII, LLC to a private buyer.
- RimRock Oil & Gas LP, a portfolio company of Warburg Pincus LLC, in its $865 million sale of leasehold interest and related assets in the Williston Basin to Devon Energy Corp. (NYSE: DVN).
- National Fuel Gas Co. (NYSE:NFG) in the sale of Seneca’s California oil and gas assets to Sentinel Peak Resources California LLC for total consideration between $280 million and $310 million, depending on oil prices, and subject to customary closing adjustments.
- TPG Rise Climate, a global impact investing platform managed by TPG Global, on its 1/3 equity investment in Monarch Bioenergy, a joint venture between Roeslein Alternative Energy and Smithfield Foods that is a leader in capturing agricultural methane emissions and converting them into carbon-negative renewable natural gas.
- Cureton Front Range, a midstream oil and gas company, in its acquisition of a portfolio of midstream assets from Aka Energy Group.
- Warburg Pincus and Chisholm Energy Holdings LLC in Chisholm’s $604 million divestiture of its Northern Delaware Basin assets to Earthstone Energy, Inc. (NYSE: ESTE).
- Northern Oil and Gas, Inc. (NYSE American: NOG) in its acquisition of non-operated Permian Basin assets owned by affiliates of Veritas Energy, LLC for $406.5 million, plus ~ 1.9 million common equity warrants with an exercise price of $28.30 per share.
- The Blackstone Group and its portfolio companies, Swallowtail Royalties and Swallowtail Royalties II, on the definitive purchase and sale agreement with Viper Energy Partners LP, a subsidiary of Diamondback Energy, Inc., to acquire certain mineral and royalty interests from Swallowtail.
Prior to joining Kirkland, Jonathan was involved in the following matters:
- Represented fund manager in various senior debt financing to lower-middle-market companies.
- Represented independent E&P company in an $85 million acquisition of Haynesvill Shale oil and gas properties.
- Represented independent exploration and production company in a $115 million acquisition of Marcellus Shale oil and gas properties.
- Represented independent exploration and production company in a $1.265 billion acquisition of Utica Shale oil and gas properties.
- Represented Canada-based public company in a series of acquisitions of oil and gas assets in the Permian Basin and STACK totaling over $65 million.
- Represented independent E&P company in a $45 million divestiture of pipeline assets in Oklahoma.
- Represented midstream gas processor in multiple, long-term, gas, crude and water gathering and processing agreements with various upstream producers in the Permian Basin totaling over $350 million.
- Represented a mineral and royalty company in its acquisition of various mineral assets in the Permian.
- Represented a mineral and royalty company in its strategic relationship with an independent oil and gas company to jointly acquire mineral rights in the SCOOP and STACK oil and gas plays of Oklahoma.
