Gabrielle Sumich
Overview
Gabrielle Sumich is a partner in the Houston office of Kirkland & Ellis LLP. Her practice concentrates on representing private equity sponsors and public and private company clients in strategic business transactions, including mergers and acquisitions, private equity investments, divestitures, joint ventures, restructurings and corporate governance matters, with a particular focus in the energy and infrastructure sectors.
Gabrielle previously worked in Australia and is dual qualified to practice in Texas and Australia.

Representative Matters
Since joining Kirkland, Gabrielle has been involved in the following matters:
- Apollo in its $550 million acquisition of a 50% interest in a 2 GW solar and battery storage project renewables portfolio in Texas from TotalEnergies (NYSE: TTE).
- Ridgewood Infrastructure in its investment in Valley Cold Storage & Transportation, a provider of temperature-controlled storage and logistics solutions.
- GCM Grosvenor (NASDAQ: GCMG) on acquiring a 25% equity interest in Shepherds Flat from Brookfield Asset Management and its institutional partners, including its listed affiliate Brookfield Renewable.
- Honeywell (NASDAQ: HON) in its $1.81 billion acquisition of Air Products’ (NYSE: APD) liquefied natural gas process technology and equipment business.
- I Squared Capital in its acquisition of WOW Logistics, a Wisconsin-based integrated supply chain solutions provider.
- SCF Partners in its acquisition of Flowchem, Val-Tex and Sealweld from Entegris Inc.
- Sandbrook Capital in its investment of up to $460 million in rPlus Energies, a private renewable energy developer.
- Ridgewood Infrastructure in its acquisition of Waste Resources Management.
- Engine No. 1 in its proposed strategic partnership with Vale and Manara Minerals to invest in Vale Base Metals, the holding entity for Vale’s energy transition metals business.
- Engine No. 1 in the sale of its ETF business and infrastructure to the TCW Group.
- Bernhard Capital Partners in the sale of Charah Solutions Inc., a provider of environmental services and byproduct recycling to the power generation industry, to SER Capital Partners.
- Ovintiv Inc. (NYSE: OVV) in its $4.275 billion acquisition of all leasehold interest and related assets of Black Swan Oil & Gas, PetroLegacy Energy and Piedra Resources, and the concurrent $825 million sale of its Bakken assets.
- Atlas Technical Consultants, Inc. (NASDAQ: ATCX), a leading provider of infrastructure and environmental solutions, in its acquisition by funds managed by GI Partners in an all-cash transaction valued at approximately $1.05 billion.
- Savage Enterprises, LLC in the sale of EnviroServe Inc., a provider of environmental and waste management services, to an affiliate of One Rock Capital Partners, LLC.
- Twin Ridge Capital Acquisition Corp. (NYSE: TRCA), a publicly traded special purpose acquisition company, in its $270 million business combination with Carbon Revolution Limited (ASX: CBR).
- Blue Source Sustainable Forests Co., a joint venture between TPG Rise-backed Anew Climate and various equity investors, in its $1.8 billion acquisition of various entities managed by The Forestland Group and its $1+ billion capital raise.
- Pathfinder Acquisition Corporation (NASDAQ: PFDR), a special purpose acquisition company, in its $537 million business combination with Movella, a fullstack provider of sensors, software, and analytics that enable the digitization of movement.
- Transportation Infrastructure Partners, a joint venture between Ridgewood Infrastructure, LLC and Savage, in the acquisition of Worldwide Terminals Fernandina, LLC, the manager and operator for the Port of Fernandina, Florida, a strategic intermodal terminal handling essential bulk, breakbulk and containerized cargo.
- PropTech Investment Corporation II (NASDAQ: PTIC), a special purpose acquisition company, in its $575 million business combination with RW National Holdings (d/b/a Appreciate), the parent holding company of Renters Warehouse, an end-to-end Single Family Rental (SFR) marketplace and management platform.
Prior to joining Kirkland, Gabrielle was involved in the following matters:
- IGO in its $1.9 billion acquisition of 49% of Tianqi Lithium Energy Australia, the majority owner of the Greenbushes Lithium Mine and 100% owner-operator of the Kwinana lithium hydroxide processing plant.
- BHP in its $1.1 billion sale of its interests in the BHP Mitsui Coal joint venture to Stanmore Resources. BMC is a metallurgical coal joint venture in Queensland, Australia which comprises the Poitrel and South Walker Creek operations, Red Mountain Infrastructure and the Wards Well development.
- Mineral Resources in relation to the original $1.15 billion sale of a 50% interest in the Wodgina lithium project to Albemarle Corporation which was later amended to the sale of a 60% interest in the Wodgina lithium project for a cash payment of $820 million and the transfer of a 40% interest in Albemarle’s Kemerton Hydroxide Plant to Mineral Resources.
- Northern Star Resources in its $243 million acquisition of the Yandal gold project in Western Australia’s Kalgoorlie-Boulder region by way of takeover of Echo Resources.
- Panoramic Resources in its equity raising to re-capitalise Panoramic, de-risk the restart of the Savannah Nickel Mine and fund project enhancement initiatives.
- Australian Strategic Material’s entry into a $250 million framework agreement with a South Korean consortium for 20% in its Dubbo Project and offtake from Korean Metals Plant.
- Mincor Resources in its acquisition of the Long Nickel Mine from Independence Group and its equity financing to restart nickel sulphide mining in Kambalda.
- Barrick Gold in its joint venture arrangements with Troy Resources in respect of the Karouni gold project in Guyana.
- BCI Minerals’ capital raising to fund its Mardie salt and potash project, located in the West Pilbara coast.
- Hastings Technology Metals in its private placement to advance the Yangibana Rare Earths Project in Western Australia.
