Joseph A. Tootle
Overview
Joseph Tootle is a tax partner in the New York office of Kirkland & Ellis LLP. Joseph advises clients on the tax aspects of a wide range of matters, including mergers, acquisitions, joint ventures, REITs and real estate transactions. He has a special emphasis on cross-border and international transactions. He also advises private equity clients on the tax aspects of raising closed and open-ended investment funds, including in the real estate and real estate credit space, and on GP stakes investments, liquidity solutions and continuation vehicle transactions.
Joseph has advised many of the large investment fund sponsors, including Apax, Blackstone, Brookfield, Cinven, CVC, EQT, Global Infrastructure Partners, KKR, Lone Star Funds and Silver Lake.
He is recognized by The Legal 500.

Representative Matters
Since joining Kirkland, Joseph has been involved in the following matters:
- Blackstone in the formation of Blackstone Energy Transition Partners IV L.P., a $5.6 billion global energy fund.
- KKR-backed Kito Crosby, a provider of lifting solutions, in its pending $2.7 billion sale to Columbus McKinnon Corp. (NASDAQ: CMCO).
- KKR in its acquisition of Telecom Italia’s fixed-line network for €22 billion.
- Global Infrastructure Partners in its $12.5 billion acquisition by BlackRock, Inc. (NYSE: BLK), creating a leading infrastructure private markets investment platform with over $150 billion in AUM.
- Silver Lake on the $13 billion acquisition of global sports and entertainment company Endeavor Group Holdings, Inc. (NYSE: EDR).
- Global Infrastructure Partners (GIP) in its sale of an equity stake in Phase 1 of NextDecade Corporation’s (NASDAQ: NEXT) Rio Grande LNG to ADNOC.
- Consortium of Global Infrastructure Partners (GIP) and Canada Pension Plan Investment Board (CPPIB) in the $6.2 billion acquisition of ALLETE, Inc. (NYSE: ALE).
- Global Infrastructure Partners in its investment in Rio Grande LNG’s $18.4 billion Phase I development and project financing.
- KKR and GED Capital on the acquisition of Eugin Group.
- KKR on its investment in Cotiviti.
- KKR as part of a consortium of institutional investors in the acquisition of GreenSky and associated loan assets from The Goldman Sachs Group, Inc. (NYSE: GS).
- Apax on strategic investment in IANS Research.
- Apax Digital Funds on strategic investment in Petvisor.
- Consortium and KKR in the $15 billion all-cash acquisition of CyrusOne Inc. (NASDAQ: CONE).
- KKR in the formation of:
- KKR Property Partners Americas, a $10 billion open-end U.S. core plus fund.
- KKR Asia Property Partners Americas, a $5 billion open-end Asia core plus fund.
- KKR Property Partners Europe, a €5 billion open-end European core plus fund.
