Carolina Velarde is an antitrust and competition associate in the Washington, D.C., office of Kirkland & Ellis LLP. Her work focuses on mergers and acquisitions with regulatory antitrust concerns for deals before the Federal Trade Commission and Department of Justice.
Prior to joining Kirkland, Carolina was an associate in the DC office of a leading law firm where she practiced antitrust and competition.

Six Flags Entertainment Corporation in its $8 billion merger of equals with Cedar Fair
United States v. UnitedHealth Group: DOJ enforcement action seeking to block UnitedHealth Group’s $13 billion 2022 acquisition of Change Healthcare in district court. Carolina served as core team member during final stages of DOJ’s merger investigation and litigation, and led efforts in discovery, as well as fact witness and expert preparation for litigation. The trial team achieved a complete win after a 12-day trial regarding both horizontal and vertical theories of harm, and successfully “litigated the fix”
The Heritage Group on its agreement with EQT Infrastructure VI fund under which EQT Infrastructure will assume a majority position of Heritage Environmental Services (HES)
Represented Towne Park in its acquisition of more than a hundred commercial parking operations nationwide
UnitedHealth Group in its acquisition of a large multi-specialty provider group after full compliance with a Second Request and with unconditional clearance
TA Associates, True Wind Capital and their portfolio company, e-Emphasys Technologies, Inc., on its carveout acquisition of CDK Global Heavy Equipment, from Brookfield-backed CDK Global
Victoria’s Secret & Co. in its acquisition of Adore Me, Inc.
Owens & Minor in its $1.6 billion acquisition of Apria (NASDAQ: APR)
Turn/River Capital in its $570 million acquisition of Tufin
