Kirkland Provides Antitrust Advice to Southeastern Grocers on Strategic Divestiture of its Businesses
Kirkland & Ellis provided antitrust advice to Southeastern Grocers (SEG) on a comprehensive strategic divestiture of its businesses. SEG operates over 420 grocery stores under the Winn-Dixie, Harveys Supermarkets, and Fresco y Más banners, some with in-store liquor stores or pharmacies, mostly in Florida as well as in Alabama, Georgia, Louisiana, and Mississippi. ALDI, one of the fastest-growing grocers in the country, will acquire all of SEG’s stock, encompassing all of the company’s grocery operations (approximately 400 stores) under the Winn-Dixie and Harveys Supermarkets banners. SEG has also agreed to sell the Fresco y Más banner and its 28 associated stores to Fresco Retail Group, an investment group strategically focused on food and grocery. The deal is expected to close in the first quarter of 2024.
