Kirkland Advises CD&R on Successful Recapitalisation of Vialto Partners

Kirkland & Ellis advised CD&R on the successful comprehensive $1.7 billion recapitalisation of Vialto Partners, effective February 24, 2025. Vialto is a global mobility company and the leading provider of global mobility, tax and immigration solutions to the world’s leading companies. CD&R was the group’s existing sponsor and, following the transaction, CD&R remains the majority shareholder of Vialto.

The fully consensual transaction delivered a $225 million new money equity capital investment in Vialto and an approximately $550 million reduction of existing debt, resulting in a more sustainable capital structure for this pioneering technology group. 

The Kirkland team included restructuring lawyers Kon Asimacopoulos, Sean Lacey, Mallika Abidi, Gautam Sundaresh and Nino Goglidze.
