Kirkland Advises Sunfire on Conversion into European Stock Corporation (SE)

Kirkland & Ellis has advised Sunfire on the successful conversion into a European Stock Corporation (Societas Europaea; SE).

The conversion comprised two steps: The conversion of Sunfire GmbH into a German stock corporation (Sunfire AG) and the subsequent cross-border merger into a Societas Europaea (Sunfire SE). It strengthens Sunfire’s position as a European company and marks a key milestone in its continued expansion.

The conversion also comprised the set-up of new governance structures in light of a diverse international shareholder base and introduced voluntary employee representation on the Supervisory Board.

Sunfire is a global leader in industrial pressurized alkaline and high-temperature solid oxide (SOEC) technology. The company employs more than 650 people located in Germany and Switzerland.
