• Southwestern Energy Co. (NYSE: SWN) in its merger with Chesapeake Energy Corp. (NASDAQ: CHK) to create $24 billion combined company.
• TG Natural Resources LLC in its $2.7 billion acquisition of Rockcliff Energy II LLC, an upstream natural gas company focused on the East Texas Haynesville shale.
• Civitas Resources (NYSE: CIVI) in its approximate $2.1 billion agreement with Vencer Energy, a Vitol investment, to acquire oil producing assets in the Midland Basin of West Texas.
• Morgan Stanley Infrastructure Partners in its acquisition of a majority stake in Crowley Wind Services, a leader in offshore wind energy solutions in the United States.
• Earthstone Energy, Inc. (NYSE: ESTE) and Northern Oil and Gas, Inc. (NYSE: NOG) in their $1.5 billion Delaware Basin acquisition of oil and gas assets from Novo Oil & Gas Holdings, LLC.
• Northern Oil and Gas, Inc. (NYSE: NOG) in its $162 million acquisition of an undivided stake in certain Delaware Basin oil and gas assets of Forge Energy II Delaware, LLC, in partnership with Vital Energy, Inc.
• Crescent Energy Company (NYSE: CRGY) in its $600 million acquisition of Western Eagle Ford assets from Mesquite Energy, Inc.
• Ranger Oil Corporation (NASDAQ: ROCC) in its $2.5 billion acquisition by Baytex Energy Corp. (TSX, NYSE: BTE).
• Atlas Technical Consultants, Inc. (NASDAQ: ATCX), a leading provider of infrastructure and environmental solutions, in its acquisition by funds managed by GI Partners in an all-cash transaction valued at approximately $1.05 billion.
• Quantum Energy Partners in its partnership with Bison Oil & Gas to form Bison Oil & Gas Partners IV, LLC with more than $500 million in equity capital commitments, and in closing multiple DJ Basin acquisitions.
• PropTech Investment Corporation II (NASDAQ: PTIC), a special purpose acquisition company, in its $575 million business combination with RW National Holdings (d/b/a Appreciate), the parent holding company of Renters Warehouse, an end-to-end Single Family Rental (SFR) marketplace and management platform.
• IOG Resources II LLC in its acquisition of a non-operated interest in Appalachia Basin producing gas assets operated by Seneca Resources from an undisclosed buyer.
• Diamondback Energy, Inc. (NASDAQ: FANG) in its acquisition of all leasehold interest and related assets of Lario Permian, LLC and certain associated sellers in exchange for 4.18 million shares of Diamondback common stock and $850 million of cash.

Equity Offerings

• Ramaco Resources, Inc. (NASDAQ: METC, METCB) in its public offering of 9.4 million shares of “tracking stock” as Class B common stock and reclassification of its existing common stock as Class A common stock.
• Northern Oil and Gas, Inc. (NYSE: NOG) in connection with its follow-on offering of 6.5 million shares of its common stock for gross proceeds of $252.7 million.
• Northern Oil and Gas, Inc. (NYSE: NOG) in connection with its follow-on offering of 7,647,500 shares of its common stock for gross proceeds of $229.4 million.

Debt Offerings & Related Transactions

• Summit Midstream Holdings, LLC, a subsidiary of Summit Midstream Partners, LP (NYSE: SMLP), in connection with its offering of $575 million of 8.625% senior secured second lien notes due 2029 and concurrent tender offer for certain of its outstanding notes.
• Genesee & Wyoming Inc., a portfolio company of Brookfield Asset Management, in connection with its offering of $700 million of senior secured notes.
• Talos Production Inc., a wholly owned subsidiary of Talos Energy Inc. (NYSE: TALO), in connection with its upsized offering of $1.25 billion of second-priority senior secured notes.
• Civitas Resources (NYSE: CIVI) in its 144A/Reg S offering of $1.0 billion in senior unsecured notes.
• Northern Oil and Gas, Inc. (NYSE: NOG) in its private placement of $500 million of new 8.750% senior notes due 2031.
• Raisa Energy LLC in the issuance of $636 million of asset-backed securities secured by over 9,000 producing oil and gas wells across six states, as part of a master trust. 

Restructuring and Other Reorganization Transactions

• Summit Midstream Corporation (NYSE: SMC) on its reorganization from a master limited partnership to a corporation.
• Team, Inc. (NYSE: TISI), a global provider of integrated, digitally enabled asset performance assurance and optimization solutions, in a refinancing of its existing ABL facility with Eclipse Business Capital LLC and term loan credit facility with Corre Partners Management, LLC, providing for incremental available credit of up to $84.9 million.
