• Lion Capital’s acquisition of shares in and notes granted by Authentic Brands Group from Simon Property Group for a total transaction value of $1.2 billion.
• BHP Group’s $19.6 billion merger of BHP's oil and gas portfolio with Woodside Energy Group – Deal of the Year at Association of International Energy Negotiators (AIEN) Awards 2022.
• BHP Group’s unification of its dual listed company structure.
• NYSE-listed Navistar International Corporation’s $3.7 billion merger with TRATON SE, a subsidiary of Volkswagen AG and subsequent going-private transaction pursuant to Rule 13e-3 under the Securities Exchange Act.
• Transactis, Inc.’s acquisition by MasterCard International Incorporated.
• Vornado Realty Trust’s $500 million mortgage loan refinancing of existing debt.
• Advised Deerfield Management in Mallinckrodt PLC’s distressed debt exchange offer, pursuant to which it offered approximately $1.1 billion second lien notes in exchange for $1.6 billion unsecured notes.
• Advised the lenders, led by Société Générale, Citibanamex and BBVA, in a $150 million credit facility provided to Servicios y Terminales de Tuxpan, S.A. de C.V. to fund in part the development of a liquid fuel storage terminal project to be constructed and operated by a KKR portfolio company, Monterra Energy, near the port of Tuxpan, Mexico.
• Northern Star Resources Limited’s debut $600 million Rule 144A/Reg. S offering of senior guaranteed notes.
• BHP Billiton’s $2.75 billion SEC-registered offering of senior notes.
• Commonwealth Bank of Australia’s Rule 144A/Reg. S offerings of $1.75 billion covered bonds, $600 million fixed rate senior notes and $900 million floating rate senior notes.
• Mineral Resources Limited’s $1.25 billion offering of senior notes.
• South32 Limited and its subsidiary’s debut $700 million Rule 144A/Reg. S offering of senior notes.
• First Horizon National Corporation’s $800 million issuance of senior notes.
• Tishman Speyer’s joint venture to develop and operate multi-family residential housing.
