Kirkland Advises Apax Funds on Take Private of Thoughtworks
Kirkland & Ellis advised funds advised by Apax Partners LLP on the $1.75 billion acquisition of global technology consultancy Thoughtworks (Nasdaq: TWKS). The transaction was announced August 5, 2024 and is expected to close in the fourth quarter of 2024, subject to customary closing conditions. The deal has been unanimously recommended by a special committee of the Board of Directors. Apax Funds are buying Thoughworks for $4.40 per share, which represents a 48% premium to the 30-day volume-weighted average price of Thoughtworks’ stock price as of August 2, 2024, the last full trading day prior to the transaction announcement.
