Since joining Kirkland, Callum has worked on the following matters, advising:
- Clayton, Dubilier & Rice, on its acquisition of a 50% controlling stake in Sanofi, a consumer healthcare business headquartered in France and operating in 100 countries with 13 strategic manufacturing sites and four science and innovation development centres, for an enterprise value of €16 billion;
- Brookfield’s real estate private funds, on its recommended cash offer for Tritax Eurobox plc, a specialist investor in European logistics real estate with a portfolio of 1.5 million square metres of space (16.2 million square feet), for an implied enterprise value of £1.1 billion;
- Clearlake Capital Group on its acquisition of MV Credit, a pan-European private credit specialist, from Natixis Investment Managers, a global multi-strategy asset manager;
- Morrisons, and its shareholder Clayton, Dubilier & Rice, on its sale of 337 petrol forecourts (including fuel, convenience retail kiosk and ancillary services) and more than 400 associated sites for Ultra-Rapid EV charging development to Motor Fuel Group for an enterprise value of £2.5 billion;
- Asda Group, owned by the Issa brothers, investment funds managed by TDR Capital and Walmart, on its acquisition of EG Group’s UK and Ireland operations for an enterprise value of £2.27 billion, consisting of c. 350 petrol filling station sites and over 1,000 food-to-go locations;
- GIC, on its partnership with BlackRock Alternatives Real Estate, British Airways’ New Airways Pensions Scheme and REEF Group for the development of Tribeca, Kings Cross, London, a life sciences quarter;
- Clayton, Dubilier & Rice, on its agreement to acquire Focus Financial Partners Incorporated, in an all-cash transaction valued at over $7 billion;
- Preservation Capital Partners, on the agreement to become the major shareholder of Saltus, one of the fastest growing wealth management firms in the United Kingdom;
- Brookfield’s real estate private funds, on its sale of Student Roost, the U.K.’s third largest purpose-built student accommodation provider, to a joint venture between GIC and Greystar;
- EQT, on its acquisition of SPT Labtech, a manufacturer and designer of automated instruments and consumables for life science research;
- The Carlyle Group, on the proposed acquisition of ekaterra, Unilever’s global tea business;
- Fortius Group, a portfolio company of Warburg Pincus, on its acquisition of Once For All (Attestation Légale); and
- EQT, on its investment, together with Vitruvian Partners, in CFC Underwriting, a technology-driven, specialist insurance provider.
Prior to joining Kirkland, Callum worked on the following matters, advising:
- Elliott Advisors, owner of Waterstones and Barnes & Noble, on its bolt-on acquisition of Wordery.com, the online bookselling division of U.K. wholesaler Bertrams, the second largest United Kingdom based wholesaler of books; and
- Onex Corporation, together with TowerBrook Capital Partners, on its investment in Independent Clinical Services Group, a leading specialised staffing, workforce management solutions, and health and social services business operating primarily in Europe.
Whilst on secondment at CVC Capital Partners, Callum advised from an in-house perspective on the following matters:
- CVC Capital Partners, on its €625m investment in Ethniki Insurance, the largest insurance company in Greece, from National Bank of Greece;
- CVC Capital Partners, on its $750m investment in RiverStone Europe, run-off insurance businesses and portfolios management company, from Fairfax Financial Holdings Limited; and
- CVC Capital Partners, on its investment in Vivartia Holdings SA, a diversified food company in Greece.
