Jennifer R. Gasser
Overview
Jennifer Gasser is a corporate partner in the Houston office of Kirkland & Ellis LLP. She advises public and private companies in the energy and infrastructure industries on strategic transactions, including mergers, acquisitions and divestitures and joint ventures.
Jennifer also advises clients in connection with the negotiation of partnership and LLC agreements, securities laws compliance, and corporate governance. She has advised clients across a broad range of industries, including energy, infrastructure, technology, and financial services.

- EQT Corporation (NYSE: EQT) in its $8.8 billion midstream joint venture with Blackstone Credit & Insurance
- ONEOK, Inc. (NYSE: OKE) in its $2.6 billion acquisition of Global Infrastructure Partners’ equity interests in Medallion Midstream, LLC
- Arcosa, Inc. (NYSE: ACA) in its $1.2 billion acquisition of Stavola, an aggregates-led and vertically integrated construction materials company
- Sandbrook Capital in its $300 million capital commitment with NGP in Cloverleaf Infrastructure, a developer of large-scale digital infrastructure sites powered by low-carbon electricity
- Global Partner Acquisition Corp II (NASDAQ: GPAC), a special purpose acquisition company, in its business combination with Stardust Power Inc. (NASDAQ: SDST), a lithium refining company, for a pro forma enterprise value of $447.5 million
- EQT Corporation (NYSE: EQT) in its $35 billion merger with Equitrans Midstream Corporation (NYSE: ETRN)

- Guardian Capital Group (TSX: GCG; GCG.A) in connection with Guardian Smart Infrastructure Management’s acquisition of a controlling interest in Q-Free ASA, a provider of intelligent transportation systems
- Global Infrastructure Partners in its investment in Rio Grande LNG’s $18.4 billion Phase I development and project financing
- Bernhard Capital Partners in the sale of Charah Solutions Inc., a provider of environmental services and byproduct recycling to the power generation industry, to SER Capital
- Rice Acquisition Corp II (NYSE: RONI), a special purpose acquisition company, in its $1.459 billion business combination with NET Power LLC, a clean energy technology company
- Blue Source Sustainable Forests Co., a joint venture between TPG Rise-backed Anew Climate and various equity investors, in its $1.8 billion acquisition of various entities managed by The Forestland Group and its $1+ billion capital raise
- EQT Corporation (NYSE: EQT) in its $5.2 billion acquisition from THQ Appalachia I, LLC and THQ-XcL Holdings I, LLC (affiliates of Quantum Energy Partners and Tug Hill Operating) of their direct and indirect upstream and midstream subsidiaries and associated oil and gas assets, properties and gathering systems in the Appalachian Basin
- Railworks Holdings, LP in its inaugural 144A/Reg S offering of $325 million in senior secured second lien notes

- Kimbell Royalty Partners, LP (NYSE: KRP) in its $404 million acquisition of mineral and royalty interests and equity interests from Haymaker Minerals & Royalties, LLC and Haymaker Resources, LP, as well as various other acquisitions of mineral and royalty interests from private equity sponsors and affiliated sellers
- Sempra Energy (NYSE: SRE) in the structuring of and governance for, and the sale of equity interests in, its North American LNG projects, including its Port Arthur LNG export facility
- McDermott International, Inc. (NYSE: MDR) in its $6 billion acquisition of Chicago Bridge & Iron Company N.V. (NYSE: CBI)
- U.S. Silica Holdings, Inc. (NYSE: SLCA) in its $750 million acquisition of EP Minerals, LLC, a global producer of engineered materials derived from industrial minerals
- Forum Energy Technologies, Inc. (NYSE: FET) in its acquisition of the remaining interests of Global Tubing, an international provider of coiled tubing, coiled line pipe and related services, from the joint venture partner and management
- Kimbell Royalty Partners, LP (NYSE: KRP) in its recapitalization, transitioning it from a traditional MLP structure to an Up-C structure
- Sunnova Energy International Inc. (NYSE: NOVA) in various pre-IPO fundraising transactions, including Series A, B and C fundraising rounds, convertible notes issuances and recapitalizations
- Pelican Energy Partners in its acquisition of the surface pressure control flow business unit of the Oilfield Equipment segment of Baker Hughes (NYSE: BKR)
- CIC Partners in its equity investment in CraftMark Bakery, a supplier of frozen bakery products
- An undisclosed buyer in the acquisition of distributed generation solar assets from a domestic residential solar company
- An undisclosed buyer in the acquisition of the remaining interests of an automobile manufacturing business from the joint venture partner and management
